Goodman Global Inc. has agreed to be acquired by affiliates of the private equity firm Hellman & Friedman LLC. This all-cash transaction is valued at approximately $2.65 billion. Under the terms of the agreement, Goodman stockholders will receive $25.60 in cash for each outstanding share of stock upon the closing of the transaction.

Supplies of HCFC-22 could get a bit tighter sooner than expected as the result of the recent Meeting of the Parties to the Montreal Protocol (MOP-19). One aspect of the agreement is that final phaseout of new production will continue to be 2020, but reduction in the amount produced will be on a faster pace.
The Air-Conditioning and Refrigeration Institute (ARI) and the Gas Appliance Manufacturers Association (GAMA) have agreed to continue the process of moving toward a merger of the two associations. Both are to engage outside experts to conduct due diligence reviews and draft proposed merger documents.
