Jan. 19, 2005: Penn Ventilation And Barry Blower To Merge

DALLAS - Penn Ventilation, a leading supplier of air moving and ventilation equipment, and Barry Blower, a leading producer of heavy-duty fans and blowers, will announce a merger at the International Air-Conditioning, Heating, Refrigerating Exposition (AHR Expo) in Orlando, Fla., on Feb. 7, 2005.

The new company, called PennBarry, officially launches March 1, 2005, and will be headquartered in Richardson, Texas, as part of London-based Tomkins plc. The merger will include the holdings of Bayley Fans and Industrial Air, manufacturers of specialized air handling equipment.

With its combined operations, PennBarry will have manufacturing plants in El Paso, Texas; Lebanon, Ind.; and Tabor City, N.C., serving Western, Central, and Eastern distribution territories. Terry O'Halloran will serve as company president.

"Our goal is to combine the resources of Penn, Barry, Bayley, and Industrial Air to provide a single source solution to HVAC customers in commercial and industrial markets worldwide," O'Halloran said.

The company says it will manufacture a full line of fans, blowers, ventilators, and replacement parts, supported by complete, in-house R&D and engineering services.

A new logo and marketing materials will be released as part of the announcement in February, with product redesigns and corporate restructuring scheduled through 2006.

PennBarry will also be featuring a number of products for general and industrial users at its Expo booth, #4310, in Orlando.

"We are particularly excited about our new Web site and FanSizerâ„¢ software product, to be showcased at the Orlando convention," said Vince Snyder, PennBarry vice president. FanSizer is a software program designed to select the optimum product for an application.
